Foxli Terms of Service and End User License Agreement

Last updated: September 30, 2026

These Terms of Service and End User License Agreement (the "Terms") are a binding agreement between you and Foxli, LLC, a Wisconsin limited liability company ("Foxli," "we," "us" or "our") and govern your use of the Foxli mobile application, the Foxli web application, the website at foxli.io, and any related services (together, the "Service").

Please read these Terms carefully. They include a disclaimer of warranties, a limitation of our liability, your agreement to indemnify us, and a statement that you assume the risks of using the Service. By creating an account, downloading, installing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Who may use Foxli

You must be at least 18 years old, or the age of majority where you live, to use the Service. The Service is intended for professional and business use. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

You may not use the Service if you are barred from doing so under the laws of the United States or any other applicable jurisdiction.

2. License to use the app

Subject to these Terms, Foxli grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to download, install and use the Service for your internal business or personal purposes. If you obtained the app from the Apple App Store or TestFlight, you may use it only on Apple-branded devices that you own or control, and only as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

The Service is licensed, not sold. Foxli and its licensors keep all rights not expressly granted to you. We may suspend, limit or revoke this license at any time, for any reason or no reason, with or without notice. When your license ends, you must stop using the Service and delete any copies of the app.

You may not, and may not allow anyone else to:

3. Foxli is a communication tool

Foxli is a general management and communication tool. It helps you and your team place notes, photos, measurements and other information in a physical space or on a map, so you can talk about a site more clearly. Use it accordingly.

Foxli is a geographic information system (GIS) management product. You must not use it in any manner that conflicts with the professional standards, licensing requirements, laws or regulations that apply where you work. Foxli is not a surveying, engineering, appraisal, inspection-certification, architectural, legal or safety tool, and it does not replace the judgment of a licensed professional. Nothing in the Service is professional advice. You are solely responsible for the decisions you make and the actions you take based on information in the Service.

4. Measurements and location are not guaranteed

Measurements, areas, distances, 3D scans, positions and GPS locations in the Service are estimates. They come from your device's camera, motion sensors, LiDAR (where available), GPS and compass, and from third-party map data. Their accuracy depends on your device, lighting, surfaces, movement, signal and other conditions outside our control. Pins and measurements can drift, shift or appear in the wrong place when a project is reopened.

Foxli does not guarantee the accuracy, completeness or reliability of any measurement, location or scan. You agree that you will not rely on the Service as the basis for:

Always verify measurements and locations independently with appropriate professional tools and qualified professionals before relying on them.

5. Stay safe while using augmented reality

Using augmented reality means looking at a screen while moving through a physical space. Stay aware of your surroundings at all times. Do not use the Service while driving or operating equipment, or in any situation where your attention to the screen could put you or others at risk. On construction sites, roofs, ladders, mechanical rooms and other hazardous areas, follow all applicable safety rules and site requirements, and stop moving before you look at your screen. Respect private property and obtain any permission needed to enter or record a location.

6. Your account

You need an account to use most features. You agree to provide accurate information, keep your password secure, and tell us promptly at support@foxli.io if you suspect unauthorized access. You are responsible for all activity under your account.

You may delete your account at any time from within the app, or by contacting us. Deleting your account permanently removes your account and associated data as described in our Privacy Policy, except for data we must keep for legal reasons. Content you shared into other users' projects may remain available to them.

7. Your content

"Your Content" means the pins, photos, notes, measurements, scans, files, project names and other material you create, upload or store in the Service. You keep ownership of Your Content.

You grant Foxli a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display and adapt Your Content only as needed to operate, secure, support and improve the Service, and to share it with the people you choose. This license ends when Your Content is deleted from the Service, except for copies in routine backups or that you shared with others.

You are solely responsible for Your Content. You represent that you have all rights and permissions needed to capture and upload it, including permission from property owners and from any people who appear in your photos or scans, and that it does not violate any law or anyone else's rights.

8. Sharing and collaboration

You can invite other people to view and edit your projects. You control who you invite. People you share with can see, change, copy and delete information in the shared project, and they may be able to keep copies. Foxli is not responsible for what other users do with content you share with them. Only share with people you trust, and remove access when it is no longer needed.

9. Acceptable use and reporting

You agree not to use the Service to:

We have no tolerance for objectionable content or abusive users. If you see content or behavior that violates these Terms, report it to support@foxli.io. You can also remove a collaborator from any project you own. We aim to review reports within 24 hours. We may remove content and suspend or terminate the accounts of users who violate these Terms, at our discretion and without notice.

10. Data storage, retention and backups

Foxli does not guarantee that your data will be stored, retained or available for any period of time. The Service saves data on your device first and then syncs it to the cloud when a connection is available. Data can be lost, corrupted, left unsynced or deleted, for example if you are offline, delete the app, change devices, run out of storage, or if our systems or our service providers have problems.

We may change storage limits, retention periods or data formats, and we may delete data, including when an account is inactive, a beta ends, or the Service is discontinued. You are responsible for keeping your own copies of anything important, using the export features we provide or other means. Foxli is not liable for any loss of data.

11. Beta and TestFlight versions

We may offer pre-release versions of the Service, including through Apple TestFlight ("Beta Versions"). Beta Versions are experimental and may contain errors, may stop working, and may lose, reset or corrupt data. Features in a Beta Version may change or be removed before, or never make it into, a final release. We may end any beta at any time. Your use of a Beta Version is entirely at your own risk. Please do not use a Beta Version as your only record of important information.

Beta Versions may include confidential, unreleased features. Unless we say otherwise, please do not publicly share screenshots or details of unreleased features.

12. Fees and purchases

Some features may require a paid plan now or in the future. We will show prices before you buy. Purchases made through the Apple App Store, including subscriptions, are processed by Apple and are subject to Apple's terms. Subscriptions renew automatically unless you cancel at least 24 hours before the end of the current period. You can manage or cancel them in your Apple Account settings. Refund requests for App Store purchases are handled by Apple. We may change our prices or plans with advance notice. Price changes do not affect a subscription period you have already paid for.

13. Third-party services

The Service relies on various third-party services, including mapping, database, cloud storage and other third-party providers. Map data, imagery, addresses and other information from these providers may be inaccurate or out of date. Your use of third-party services may be subject to their own terms and privacy policies. Foxli is not responsible for third-party services or content.

14. Our intellectual property and feedback

The Service, including its software, design, text, graphics, 3D models and the Foxli name and logo, is owned by Foxli or its licensors and protected by intellectual property laws. You may not use our trademarks without our written permission.

If you send us ideas, suggestions or other feedback, you grant us the right to use it for any purpose without any obligation to you.

15. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access to all or part of the Service, or revoke your license, at any time and for any reason, with or without notice, including if we believe you have violated these Terms or if we discontinue the Service. When access ends, your right to use the Service ends immediately, and we may delete your account and data. Sections 3, 4, 7 (the parts about your responsibility), 10 and 14 through 23 survive termination.

16. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, FOXLI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT AND NON-INFRINGEMENT. FOXLI DOES NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, RELIABLE, UNINTERRUPTED, SECURE OR ERROR-FREE, THAT DATA WILL BE PRESERVED, OR THAT DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION YOU GET FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

17. Assumption of risk

You understand and agree that you use the Service entirely at your own risk. You assume all risks connected with your use of the Service, including risks from inaccurate measurements or locations, lost or corrupted data, decisions you or others make based on the Service, content shared by other users, and physical injury or property damage while using augmented reality.

18. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FOXLI AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, GOODWILL OR DATA, OR ANY COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, FOXLI'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOXLI FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you. In that case, our liability is limited to the smallest amount permitted by law.

19. Indemnification

You agree to defend, indemnify and hold harmless Foxli and its owners, officers, employees, contractors, agents and licensors from and against any claims, liabilities, damages (including direct, indirect, incidental and consequential damages), losses, judgments, settlements, costs and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use or misuse of the Service; (b) any reliance by you or anyone else on measurements, locations or other information from the Service; (c) Your Content; (d) your violation of these Terms or of any law; or (e) your violation of anyone else's rights. We may take over the defense of any claim at your expense, and you will cooperate with us. You will not settle any claim that affects Foxli without our written consent.

20. Governing law and disputes

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the United States District Court for the Western District of Wisconsin, 120 N. Henry St., Madison, WI 53703, or, if that court lacks subject-matter jurisdiction, in the state courts located in Dane County, Wisconsin. You and Foxli consent to the personal jurisdiction of those courts. Claims must be brought individually and not as a plaintiff or class member in any class or representative action. Before filing a claim, you agree to contact us at support@foxli.io and try to resolve it informally for at least 30 days.

21. Terms for apps downloaded from Apple

If you downloaded the app from the Apple App Store or through TestFlight, the following also applies, and it controls if it conflicts with anything else in these Terms:

22. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page and change the "Last updated" date. If a change is material, we will give reasonable notice, for example by email or in the app, before it takes effect. By continuing to use the Service after the updated Terms take effect, you accept them. If you do not agree, stop using the Service and delete your account.

23. General terms

These Terms, together with our Privacy Policy and any terms shown to you when you buy a paid plan, are the entire agreement between you and Foxli about the Service. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent possible and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them, including in connection with a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. The section headings are for convenience only.
